OFFICIAL RULES AND REGULATIONS

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. THIS PROMOTION IS INTENDED FOR PLAY IN THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER IF YOU ARE NOT ELIGIBLE OR NOT LOCATED IN THE 50 U.S. OR D.C. AT THE TIME OF ENTRY.

1. PROMOTION PERIOD: The Promotion starts January 17, 2012 at 9:00:00 AM Central Time ("CT") and ends April 30, 2012 at 11:59:59 PM CT, or May 11, 2012 at 11:59:59 PM CT only in the case of No Purchase Necessary entries requested as described in Rule #5 below (the "Promotion Period").

2. ELIGIBILITY: To be eligible to enter and be eligible to win, you must be a legal resident of the 50 United States or the District of Columbia who is 18 years of age or older as of the date of entry and is a member of www.Pull-Ups.com, with a valid email address. Void where prohibited. Persons in any of the following categories are NOT eligible to participate or win prizes: (a) any person who, at any time on or after January 17, 2012, was or is a director, officer, or employee of Kimberly-Clark Global Sales, LLC, or its parent, subsidiaries, franchisees, agents, suppliers, or service agencies; (b) individuals engaged in the development, production or distribution of materials for the Promotion or engaged in the administration or execution of this Promotion (collectively with the entities in 2(a), the "Promotion Entities"), and (c) persons who are the immediate family (spouse, parent, child, sibling and their respective spouses) of, or reside in the same household (i.e., live in the same household for at least 3 of the 12 months preceding the start of the Promotion Period, whether related or not) as, any person in any of the preceding categories.

3. HOW TO ENTER AND PLAY: To enter the Promotion, you must first obtain a code ("Codes") in two (2) ways: (a) Codes are available in participating Pull-Ups products (Codes will be available while supplies last. Not all product and package sizes are available in all areas); or, (b) request a Code by mail, without purchase, as set forth in Rule #5 below. Once you have a Code, go to www.Pull-Ups.com (the "Website") during the Promotion Period, where you will be requested to read and accept these Official Rules, and follow the instructions to register on the Website (which includes free membership in Pull-Ups.com if you are not already a member), and enter your Code. Membership is subject to the Official Program Terms and Conditions available at http://www.pull-ups.com/na/RewardsTerms.aspx.

Limit of one (1) registration per person/email address; if it is discovered that you have registered or attempted to register more than ONCE using multiple email addresses or identities, all of your entries will be declared null and void, and any prize you might have been entitled to will not be awarded, in Sponsor’s sole discretion. In order to register, you must have a valid email address and you may use only one (1) email address to register. Automated entries are prohibited, and any use of automated devices will cause disqualification.

3.1. INSTANT WIN GAME: Upon accepting the Official Rules, you will receive one (1) Instant Win Game play. An onscreen message, including a unique Security Identification Code (SIC), will show the results of your Instant Win Game play (including any Prize/Rewards Points potentially won, if any). In addition, if you are a potential winner, a "Play Receipt" including a unique Security Identification Code (SIC), will be automatically sent to the email address you provided in the registration process. The Play Receipt and SIC will confirm the results of your game play. Instant Win Game Prizes and Rewards Points are randomly seeded throughout the Promotion Period and awarded to participants as they enter. Odds of winning a Prize or receiving Rewards Points depend on the total number of possible entries and the order in which they are received.

After completing your Instant Win Game play, you will also receive one (1) entry into the Random Sweepstakes Draw.

Limit of one (1) Instant Win Game play and one (1) Random Sweepstakes Draw entry per Code. All entries (with the exception of the no purchase method of entry – see Rule #5) must be submitted by April 30, 2012 at 11:59:59 PM CT to be eligible. All entries become property of the Sponsor and will not be returned.

3.2. RANDOM SWEEPSTAKES DRAW: On or about May 14, 2012, at approximately 2:00:00 PM CT, an independent judging organization (the "Promotion Judges") will randomly draw two thousand two hundred ninety nine (2,299) entries (collectively, the "Potential Sweepstakes Prize Winners" and, if verified, "Sweepstakes Prize Winners") from among all eligible entries received. The random draw will be held in Winnipeg, Manitoba. The first three (3) entries drawn will determine the Potential Winners of the Family Trips; the following twenty-three (23) entries drawn will determine the Potential Winners of the Portable DVD Player Prizes; the following twenty-three (23) entries drawn will determine the Potential Winners of the Schwinn Roadster Trike Prizes; and the following two thousand and fifty (2,250) entries drawn will determine the Potential Winners of the Toy Cash Prizes. All selected entrants will be subject to verification of eligibility under these Official Rules.

4. PRIZES AND REWARDS POINTS: At the outset of the Promotion, the prizes and Rewards Points available to be won are:

4.3.1. Toy Cash Prize (2,250 available): One (1) $25 Toy Cash gift card (valid at toy retailers and merchants that accept major debit and/or credit cards; please be sure to check with the retailer or merchant prior to use) (ARV: $25.00).

4.3.2. Schwinn Roadster Trike Prize (23 available): One (1) Schwinn Roadster Trike (ARV: $89.00).

4.3.3. Portable DVD Player Prize (23 available): One (1) Portable DVD Player (ARV: $149.99).

4.3.4. Family Trip to Orlando, Florida (3 available): One (1) trip to Orlando, Florida. Prize consists of round-trip coach air transportation for four (4) from a major airport nearest the winner’s home within the U.S. (airport, carrier and airline ticket class selected at the sole discretion of Sponsor), one (1) quadruple occupancy standard accommodation (maximum of two adults) for seven (7) nights (accommodation to be selected at the sole discretion of Sponsor), tickets for four (4) to an amusement park. If eligible winner resides within 150 miles of the destination, ground transportation may be substituted for air transportation at Sponsor’s sole discretion. All other expenses not specifically mentioned herein, including (but not limited to) ground transportation, meals, gratuities, travel documents, tax, and personal expenses, are the sole responsibility of the winner. Transportation and accommodations are subject to availability, blackout periods, government restrictions and regulations, hotel, airline, airport or other transportation restrictions and regulations. Other restrictions may apply. Air travel must be booked and taken between June 1, 2012 and May 31, 2013. Winner and guests must have all necessary identification and/or travel documents (e.g. a valid U.S. Driver’s license) required for travel. ARV: $6,000.00, depending on winner’s point of departure and airfare fluctuations. If winner's guest is a minor he/she must be accompanied by parent or legal guardian who must sign and return all required documentation. Winner and guests must sign and return a release of liability/publicity prior to ticketing of prize.

The odds of winning a Sweepstakes Prize depend on the total number of eligible entries received.

Total ARV of prizes available to be won: $296,152.27.

Prizes and Rewards Points are not transferable, or redeemable for cash (if applicable), and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, who reserves the right to substitute a prize (or portion thereof) or Rewards Catalog item with one of comparable or greater value, at its sole discretion. Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms therefore, and Winners agree to look solely to such manufacturers for any such warranty and/or guarantee. All applicable federal, state, local taxes (including income and withholding taxes), if any, as well as any other costs and expenses associated with prize or Rewards Points acceptance and use not specified herein as being provided are each Winner’s responsibility. All Prize and Point details are at the Sponsor’s sole discretion.

5. NO PURCHASE NECESSARY: To obtain a Code without purchase, hand-print your full name, address and email address on a 3" x 5" card and mail to: "Pull-Ups ® Brand Training Pants Potty Dance Instant Win and Sweepstakes – Free Code", P.O. Box 8548, Big Sandy, TX 75755. Requests must be postmarked by April 30, 2012 and received by May 7, 2012. Only one (1) request per outer-postmarked envelope allowed. Entries mechanically reproduced or made in any fashion other than as specified herein are void. Sponsor is not responsible for lost, late, illegible, misdirected, mutilated, incomplete, or postage-due mail/entries. Upon receipt of your request, you will be sent by email one (1) Code for entry into this Promotion; Codes received by email may be used on the Website by clicking on the special link embedded in the email until May 11, 2012 at 11:59:59 PM CT after which time the Code will become null and void.

6. HOW TO CLAIM YOUR PRIZE; PRIZE CONDITIONS: Redemption codes for music download prizes will be automatically sent to the verified Winner’s email address as provided in the registration process. Music download codes are subject to the terms and conditions of the issuer and must be redeemed by January 9, 2013. Kellogg’sTM Fruit Flavored Snack coupons must be redeemed by July 31, 2012 and are subject to the terms, conditions and restrictions set by the issuer. Redemption of Pull-Ups® Rewards Catalog items may require more than twenty five (25) Rewards Points; the required number of Rewards Points will vary by item. Potential Winners of a Family Trip will be contacted by phone, mail or email with instructions on how to claim their prize. All other Instant Win Game prizes and Sweepstakes prizes will be automatically mailed to the verified Winner's address as provided in the registration form. Sponsor is not responsible for any change in participants’ mailing address, email address and/or telephone number. If applicable, a prize won by an entrant who is eligible but still considered a minor in his/her jurisdiction of residence will be awarded to a parent or legal guardian of such minor, who must sign and return all required documentation outlined herein and otherwise comply with all requirements imposed on Winner set forth herein. If a Potential Winner is found to be ineligible or not in compliance with these Official Rules, declines to accept the prize, if Sponsor is unable to contact Potential Winner within a reasonable period, or in the event that a prize notification or prize is returned undeliverable, the prize will be forfeited. Each Potential Winner (or parent/legal guardian where applicable) may be required to furnish proof of identification to determine eligibility. Before being declared a Winner, each Potential Winner of a Family Trip (or parent/legal guardian where applicable) will be required to execute and return an Affidavit of Eligibility/Liability & Publicity Release and a W9 form within seven (7) days from the time they are postmarked as having been sent by the Sponsor's representative or the prize will be forfeited.

Allow 6-8 weeks for verification and shipment of your prize. Promotion Entities shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes will only be delivered to verified Winners with addresses within the 50 United States or D.C. Unclaimed prizes will not be awarded.

By accepting a prize, each Winner consents to the use of his/her name, address (city and state of residence), voice, and statements relating to the Promotion or Sponsor, and photographs or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by Sponsor or any related entities in any and all media now known or hereinafter developed without territorial or time limitation, except where prohibited by law.

CONDITIONS OF ENTRY:

7. By entering, entrants (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sponsor and/or Promotion Judges, made in their sole discretion, which shall be final and binding in all matters relating to this Promotion. Entrants who have not complied with these Official Rules are subject to disqualification and all associated entries may be void.

8. Sponsor reserves the right to disqualify any entrant’s registration in the Promotion (and void all associated entries) or entitlement to a prize or Rewards Points if, in its sole discretion, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other fraudulent, deceptive or unfair playing practices (including any entries generated by script, macro, robotic, programmed, or any other automated means or any other means which subvert the entry process).

9. If a dispute arises regarding who submitted an online entry, the entry will be deemed to be submitted by the authorized account holder of the email address provided at time of entry and he/she must comply with these Official Rules. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

10. As a condition of entering, entrants (or parents or legal guardians if eligible minors) agree: (a) to release Sponsor and Promotion Entities, and each of their officers, directors, employees and agents, from any and all liability, loss or damage incurred with respect to participating in the Promotion or the awarding, receipt, possession, and/or use or misuse of any prize or Rewards Points; (b) that under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, and in no event will entrants be entitled to receive attorneys’ fees and court costs.

11. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Promotion at any time if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes corrupt the administration, security, integrity or proper play of the Promotion. In the event of cancellation, Sponsor reserves the right to select the Winners from among all eligible, non-suspect entries received up to time of such cancellation.

12. Promotion Entities do not warrant that access to the Promotion will be uninterrupted. Promotion Entities are not responsible for any problems that may arise, including but not limited to; (a) lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connection, availability or accessibility problems arising in connection with or over the course of the Promotion; or (b) communications failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions or hardware or software malfunctions, failures or difficulties; or (c) failure of personal computers and/or software and hardware configurations, any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in connection with the administration of the Promotion, the processing of mail or entries, the offering or announcement of any prize or in any prize notification documents; or (d) for any other errors of any kind relating to or in connection with the Promotion, whether human, mechanical, clerical, electronic, or technical in nature; or (e) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Promotion; or (f) damage to a user's system occasioned by participation in this Promotion or downloading any information necessary to participate in this Promotion. Promotion Entities are also not responsible for lost, late, delayed, garbled, stolen, incomplete, misdirected, illegible, damaged, postage-due or undelivered Rewards Points, mail or entries. Proof of transmission (screenshots or captures of game play etc.) and/or mailing does not constitute proof of delivery.

DISCLOSURES:

13. Any attempt by an entrant or other individual to deliberately damage any website or undermine the legitimate operation of this Promotion, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorneys’ fees) from any such individual, to the fullest extent permitted by law. Entrant reasonably believed to be engaging in any of the foregoing activities may be disqualified (and all associated entries will be void) and will forfeit any prize(s) or Rewards Points won.

14. If a dispute arises relating to a prize won, a combination of factors will be assessed in determining if you are in fact eligible to win a Prize or Rewards Points; i. the Receipt including the unique SIC, and its corresponding play data in the Promotion database will be reviewed to determine the legitimacy of the claim; ii. The Promotion Judges will be consulted to compare the pre-generated game data with the game play data you are presenting or have generated. Ultimately it will be the results of the Promotion Judges’ analysis which will determine your entitlement to any Prize or Rewards Points. The review of any such dispute will not commence prior to two weeks following the Promotion end date noted herein. In the event the Promotion Judges’ analysis reveals valid Prize or Rewards Points claims are greater than the number of Prizes or Rewards Points available as set forth in these Official Rules, then Sponsor reserves the right to conduct a random drawing amongst all valid, eligible Prize or Rewards Points claimants whose claims have not yet been redeemed, to award the remaining number of advertised Prizes or Rewards Points in the prize category in question. Prizes or Rewards Points will stop being awarded in the event Sponsor becomes aware of an error respecting the number of Prizes or Rewards Points. In no event will Sponsor be liable for more than the stated number of prizes available in the prize category in question.

15. In the event of any conflict between any Promotion details contained in these Official Rules and Promotion details contained in Promotion Materials (including but not limited to point of sale, television, and print advertising, promotional packaging, and other promotion media), the details of the Promotion as set forth in these Official Rules shall prevail.

16. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the substantive laws of the State of Wisconsin without regard to Wisconsin or any other conflicts of law principles. All entrants consent to the jurisdiction and venue of the federal, state and local courts for Neenah, Wisconsin.

17. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sponsor’s employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.

18. This Promotion is subject to all applicable federal, state, and municipal laws.

19. This Promotion is sponsored by Kimberly-Clark Global Sales, LLC, 2100 Winchester Road, Neenah, WI 54956 (the "Sponsor").

20. Box 8549, Big Sandy, TX 75755. All requests for a list of major prize Winners must be received by June 29, 2012. Winners’ list will be sent after all prizes have been awarded.

21. Personal information collected from entrants will be used by the Sponsor for the purpose of administering this Promotion, unless entrant has elected to receive additional information and promotional material from Sponsor or a third party.
